Business:	We may pursue an initial business combination in any business or industry or at any stage of its corporate evolution. Our primary focus, however, will be in completing a business combination with an established business of scale poised for continued growth, led by a highly regarded management team. (Incorporated in the Cayman Islands) Our management team has an extensive track record of acquiring attractive assets at disciplined valuations, investing in growth while fostering financial discipline and improving business results. Shawn Matthews, chairman and CEO, and Steven Bischoff, president and CFO, are the leaders of our management team: Mr. Matthews, with over 30 years of financial services experience, was the CEO of Cantor Fitzgerald & Co. (2009-2018), a leading financial services firm and the underwriter, where he was responsible for the firm’s risk-taking businesses and strategic growth. He is also the founder and chief investment officer of Hondius Capital Management, an alternative investment firm founded in 2019. He is responsible for the overall success of the business with a particular focus on managing all firm investments. Mr. Matthews also served on the Board of Directors of the Securities Industry and Financial Markets Association (“SIFMA”). Before joining Cantor in 2006, he founded, operated and ran a number of investment and financial service businesses. Mr. Bischoff, with over 25 years of financial services experience, is the president and CFO of HCM II Acquisition Corp. Mr. Bischoff is also the COO of Hondius Capital Management, an alternative investment firm founded in 2019. He is an Executive Vice President with Atlantic Home Loans, where he is responsible for the company’s strategic planning and operations. From 2010 through 2020, Mr. Bischoff was a Partner at NatAlliance Securities LLC., a broker dealer where he oversaw investment banking and asset management. From 2003 through 2007, Mr. Bischoff was employed with Cantor Fitzgerald, where he was hired as the Head of Fixed Income Trading and subsequently promoted to co-COO of Capital Markets. Mr. Matthews and Mr. Biscoff have worked closely together for over 15 years. In their leadership roles at Cantor, Mr. Matthews and Mr. Bischoff led and oversaw a number of global acquisitions. The vast majority of these transactions were within the highly regulated financial services space, with completed or targeted acquisitions including FinTech, investment banks, broker dealers, asset and wealth managers, and mortgage originators.
