This is an initial public offering of our securities. Each Stakeholder Aligned Initial Listing, or SAIL^SM security has an offering price of $10.00 and consists of one Class A share and one-half of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A share at a price of $11.50 per share, subject to adjustment as provided herein, and only whole warrants are exercisable.
